1. Agreement Overview

These Terms of Service ("Terms") govern your use of SecureInsights' software, services, and website (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you're using our Services on behalf of an organization, you're agreeing to these Terms on behalf of that organization.

2. Our Services

SecureInsights provides on-premise AI infrastructure software that enables organizations to:

• Deploy and run large language models on their own hardware
• Maintain complete data sovereignty and privacy
• Scale AI capabilities using distributed computing
• Access AI through customizable interfaces

Important: Our software runs entirely on your infrastructure. You maintain full control and responsibility for your data, models, and computing resources.

3. License Grant

Software License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable license to:

• Install and use our software on your designated servers
• Create derivative works for your internal business purposes
• Access documentation and support materials

License Restrictions

You may not:

• Resell, redistribute, or sublicense our software
• Remove or alter proprietary notices
• Use the software for illegal purposes
• Reverse engineer the software (except as permitted by law)
• Use the software to compete with SecureInsights

4. Your Responsibilities

You are responsible for:

• Providing and maintaining your own hardware infrastructure
• Ensuring your use complies with all applicable laws
• Securing your systems and data
• Backing up your data and configurations
• Managing user access and permissions
• Paying all fees associated with your subscription

5. Data and Privacy

Your Data Stays Yours: All data processed by our software remains on your infrastructure. We have no access to, control over, or responsibility for your data unless you explicitly share it with us for support purposes.

Telemetry: Our software may collect anonymous usage statistics to improve our products. This telemetry can be disabled in your settings.

Support Access: We only access your systems or data when you explicitly grant permission for support purposes.

6. Payment Terms

Subscription fees are:

• Based on your selected plan and number of nodes
• Billed annually or monthly as agreed
• Non-refundable except as required by law
• Subject to change with 30 days notice

Late payments may result in service suspension after written notice.

7. Intellectual Property

Our IP: We retain all rights to our software, trademarks, and materials.

Your IP: You retain all rights to your data, models, and content.

Feedback: Any feedback you provide may be used by us without restriction.

8. Warranties and Disclaimers

We warrant that our software will perform substantially as documented. However:

• Services are provided "AS IS" to the maximum extent permitted by law
• We don't guarantee uninterrupted or error-free operation
• We're not responsible for third-party models or content
• Results depend on your hardware and configuration

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability is limited to fees paid in the past 12 months
• We're not liable for indirect, incidental, or consequential damages
• We're not liable for data loss or business interruption
• These limitations apply regardless of the theory of liability

10. Indemnification

You agree to indemnify and hold SecureInsights harmless from claims arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your data or content

11. Term and Termination

Term: These Terms remain in effect until terminated.

Termination by You: You may terminate at any time by ceasing use and uninstalling our software.

Termination by Us: We may terminate for breach after 30 days written notice if not cured.

Effect: Upon termination, your license ends but sections that should survive will continue.

12. Export Compliance

You agree to comply with all export laws and regulations. You represent that you are not on any prohibited party list.

13. Governing Law

These Terms are governed by California law, excluding conflict of laws principles. Disputes will be resolved in San Francisco County courts.

14. Changes to Terms

We may update these Terms with 30 days notice for material changes. Continued use constitutes acceptance of new terms.

15. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement
• Severability: Invalid provisions will be modified to be enforceable
• No Waiver: No waiver unless in writing
• Assignment: You may not assign without our consent
• Force Majeure: Neither party liable for circumstances beyond control
